AssetHub Inc. (hereinafter referred to as the "Company") has established the following Terms of Service (hereinafter referred to as these "Terms") as the basic conditions for the use by users (hereinafter referred to as "Users") of all services provided through AI models (hereinafter referred to as the "Service").
By using the Service, Users shall be deemed to have agreed to all of these Terms. Any terms of service of the Company that are valid and in effect as of the date these Terms are posted shall be integrated into these Terms as of such date. For Users who are already using the Company's services, these Terms shall apply to any use of the Service on or after the date these Terms are posted.
1. Use of the Service
(1)
Users may use the Service to generate outputs, including 3D models, generated images, and text-based outputs, by having the Company's AI models learn (including re-learning and fine-tuning; the same shall apply hereinafter) or by inputting into prompts information such as image data and other information held by the User (hereinafter simply referred to as "Information").
(2)
When using the Service, Users shall prepare at their own expense and responsibility all equipment necessary for using the Service, including devices, communication services, internet connection services, and any other required environment.
(3)
When using the Service, Users shall not input the following information for learning or into prompts:
Personal information (meaning information that can identify a specific individual, such as name, address, and date of birth)
Confidential information (meaning unpublished information of the User or third parties, or information the disclosure of which is prohibited)
Information containing intellectual property rights of third parties for which permission to use in the Service has not been obtained
Information that leads to the generation of pornographic materials or explicit nudity
Information that leads to the generation of outputs intended to discriminate on the basis of race, ethnicity, religion, gender, physical characteristics, disease, or sexual orientation, or intended to attack third parties
(4)
The Company may use generative models and texture image generation models provided by external service providers in the provision of the Service. Users are required to review the terms of service of such external service providers for details regarding the conditions of use when such generative models and texture image generation models provided by external service providers are used in connection with the Service.
2. Prohibition of Use by Minors
Users must be 18 years of age or older to use the Service. If a User under the age of 18 uses the Service, the Company may suspend such User's use of the Service.
3. Subscriptions and Payment of Fees
(1)
Among the Company's services, paid plans are offered on a monthly or annual subscription basis.
(2)
Subscriptions for paid plans will be automatically renewed unless the User declines renewal.
(3)
The Company reserves the right to change prices with 30 days' prior notice. If a User does not agree to the price change, the User may decline to continue the subscription before renewal.
(4)
Fees that have been paid are non-refundable, except where required by applicable law.
(5)
All fees are exclusive of taxes. Any applicable taxes shall be borne by the User.
4. Intellectual Property Rights
(1)
With respect to the free plan of the Service, all intellectual property rights and any other rights in the outputs generated through use of the free plan (hereinafter referred to as "Outputs") shall belong to the Company. Users of the free plan may use the generated Outputs solely on a non-exclusive basis for personal and non-commercial purposes and shall not sublicense or assign such Outputs to third parties without the Company's consent.
(2)
With respect to the paid plans of the Service, all intellectual property rights and any other rights in the Outputs generated through use of the paid plans shall belong to the User or to the third party that is the rights holder of the Information. Users of paid plans may use the generated Outputs for any purpose, including commercial use, provided that such use does not violate the prohibited acts set forth in these Terms.
(3)
Notwithstanding the foregoing provisions, the intellectual property rights in the AI models of the Service and all associated programs and systems (collectively hereinafter referred to as the "AI Models") shall belong to the Company or to those who have licensed their use to the Company (hereinafter referred to as "Licensors").
(4)
Users shall not reproduce or otherwise use the AI Models without the consent of the Company or the Licensors, nor shall they allow third parties to use them.
(5)
Users may use the AI Models of the Service within the scope of the license granted by the Company.
5. Company's Covenants
(1)
The Company shall not use the Information that Users have had the AI Models learn or have input into prompts, or the Outputs generated by Users through their use of the Service, for the benefit of any third party other than the Company and such User.
(2)
As set forth in Section 1(4), there may be cases in which external service providers' generative models and texture image generation models are used in connection with the Service. In such cases, the Information that Users have had learned or input into prompts, and the Outputs generated through such use, may be stored on servers managed by such external service providers. The Company is not aware of whether such external service providers may use such Information and Outputs for purposes other than the purpose intended by the User; therefore, Users are required to review the terms of service of such external service providers for details.
6. Prohibited Acts
In addition to the foregoing, the Company prohibits Users from engaging in any of the following acts in connection with their use of the Service:
Acts that infringe or may infringe upon the property, rights, intellectual property rights, or economic interests of the Company or third parties
Acts that damage, unfairly discriminate against, or defame the honor, credibility, or reputation of the Company or third parties
Communication interference, communication interception, intrusion into servers operating the Service, information theft, or attacks on such servers, systems, or security
Acts of transmitting computer viruses or other unauthorized information
All acts that exploit any bugs, malfunctions, or other unintended conditions of the Service or the servers operating the Service for the benefit of oneself or third parties, or acts of inciting or aiding such conduct
Development, distribution, or use of unauthorized tools, unauthorized applications, pirated versions of the Service, cheat tools, or other programs intended for unauthorized use of the Service, or any acts that induce or encourage third parties to engage in such conduct
Deletion, alteration (including data falsification), modification, adaptation, creation of derivative works, decompilation, disassembly, or reverse engineering of the Service, or any acts that induce or encourage third parties to engage in such conduct
Redistribution and lending of part or all of the Service (including copies), and resale or transfer of the Service
Generation of child sexual abuse material (CSAM)
Generation of deepfake or fraudulent content
Disguising free plan outputs as paid plan outputs (output laundering)
Circumvention of security features of the Service or acts related to prompt injection
Acts that interfere with the operation of the Service
Threatening acts against the Company or third parties
Criminal acts, illegal acts, or acts connected thereto, or acts of inciting or aiding such conduct
Acts contrary to public order and morals, and anti-social acts
Acts that violate laws, ordinances, or other applicable regulations
In addition to the foregoing, any acts that the Company deems inappropriate
7. Suspension and Restriction of Use of the Service
The Company may immediately suspend or restrict, in whole or in part, a User's use of the Service if the Company determines that the User falls under any of the following:
When the User engages in acts prohibited under this agreement, otherwise violates or is likely to violate these Terms
When a petition for bankruptcy, civil rehabilitation, or other insolvency proceedings has been filed against or by the User
When the Company otherwise determines that the User's actions would impede the Company's business
8. Termination of Service Provision
The Company may terminate the agreement with the User under these Terms and discontinue the provision of the Service if the User falls under any of the following:
The User has previously been subject to suspension of use or termination of a service agreement in connection with the Company's services
The User has been subject to a suspension or restriction under the preceding Article and has failed to demonstrate the error of the Company's determination within six (6) months from the date of such suspension or restriction
The User has been subject to a suspension or restriction under the preceding Article, has subsequently received a demand from the Company specifying a cure period, but has failed to remedy the cause within such period
The Company reasonably determines that providing the Service to the User is inappropriate or impossible
9. Modification, Termination, and Interruption of the Service
(1)
The Company may modify the content of the Service, in whole or in part, without prior notice to Users.
(2)
The Company may also terminate the provision of the Service, in whole or in part, at its discretion. In such case, except in cases of emergency, the Company will publicly announce or notify Users in advance by such method as the Company deems appropriate.
(3)
Furthermore, the Company may interrupt the provision of the Service without prior public announcement or notice to Users if any of the following events occur. In such case, except in cases of emergency, the Company will publicly announce or notify Users in advance by such method as the Company deems appropriate:
When regular or emergency maintenance or repair is performed on hardware, software, communication equipment, or any other resources used in the provision of the Service
Disruption of communication lines, including internet lines and mobile phone lines
Force majeure events such as natural disasters
Fire, power outages, or other unforeseen accidents
War, conflict, civil unrest, riots, or labor disputes
When the Company otherwise determines that interruption of the provision of the Service is necessary
10. Disclaimer
(1)
With respect to the Service, the Company does not warrant any of the following, and shall not bear any liability except in cases of willful misconduct or gross negligence on the part of the Company:
That the Service is free of bugs or other defects, or the completeness, reliability, safety, or effectiveness of the Service
That the Service will be available without interruption in any environment or will operate on all devices
The completeness, accuracy, applicability, or usefulness of any Outputs generated through the Service
That the Service does not infringe any intellectual property rights or other rights of third parties
That the User's use of the Service complies with laws, regulations, or internal rules of industry organizations applicable to the User
That the acts performed by the User through the use of the Service are suitable for the User's specific purposes
(2)
The Company shall not bear any liability for damages incurred by Users due to unauthorized access to the Service, intrusion of computer viruses, or other acts of third parties (including acts of external service providers referred to in Section 5(2)), except in cases of willful misconduct or gross negligence on the part of the Company.
(3)
If a User causes damage to a third party through the use of the Service, or if a dispute arises between a User and a third party, the User shall resolve such matter at their own responsibility and expense and shall not impose any liability on the Company. The User shall compensate or indemnify the Company for all damages or expenses (including, without limitation, the full amount of attorneys' fees) incurred by the Company as a result of a dispute between the User and a third party.
11. Damages
(1)
If a User causes damage to the Company due to a violation of these Terms or other causes attributable to the User, the User shall compensate the Company for such damage.
(2)
If the Company causes damage to a User due to causes attributable to the Company, the Company shall compensate the User for such damage. However, except in cases of willful misconduct or gross negligence on the part of the Company, the scope of the Company's liability for damages shall be limited to direct damages incurred by the User as a result of the use of the Service (excluding lost profits, consequential damages, and other indirect damages), and shall be capped at the total amount of fees received by the Company from the User for the Service.
12. Validity of These Terms
(1)
Even if a part of these Terms is determined to be invalid under applicable laws and regulations, the validity of the remaining provisions shall not be affected.
(2)
Even if a part of these Terms is determined to be invalid or is rescinded in relation to certain Users, the validity of such provisions in relation to other Users shall not be affected.
13. Governing Law and Jurisdiction
(1)
These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of laws principles.
(2)
Any and all disputes arising between a User and the Company in connection with the Service shall be subject to the exclusive jurisdiction of the state and federal courts located in the State of Delaware as the court of first instance.
14. Changes to These Terms
(1)
The Company may change these Terms. When these Terms are changed, the Company will post the changes on its website. Users are requested to review the revised Terms.
(2)
By using the Service after these Terms have been changed, Users shall be deemed to have agreed to such changes.
