‍Welcome to AssetHub (the “Service”). These Terms of Service (“Terms”) govern your participation
　in and use of the closed beta program for AssetHub, a web-based AI editor for 3D models, operated by AssetHub, Inc. (“Company,” “we,” “us,” or “our”). By accessing or using the Service, you agree to these Terms.

‍Beta Service
AssetHub is currently offered in a closed beta test phase (“Beta”), which means it is still under development. The Service enables users (including, but not limited to, game developers, 3D artists, and 3D printers) to utilize AI-driven tools to edit or generate 3D models.
1.2 No Fees
During this Beta phase, the Service is provided free of charge. We reserve the right to introduce fees or subscription plans in the future with appropriate notice.
2. Eligibility and Access2.1 Closed Beta Invitation
The Beta is available only to individuals selected or invited by the Company on a rolling basis. You may request access by joining our Discord community or by other methods we designate.
2.2 Geographic Restrictions
We do not impose specific geographic restrictions for Beta participation. However, you are responsible for ensuring that your use of the Service complies with local laws in your region.
2.3 Age Requirement
You represent that you are at least 18 years of age (or the age of majority in your jurisdiction) and are legally able to enter into a binding agreement.

3. Account Creation3.1 User Accounts
To access the Service, you must create an account (“Account”). You may be required to provide an email address and any other requested information. We collect and process this information in accordance with our privacy provisions (Section 8).

3.2 Account Security
You are responsible for maintaining the confidentiality of your login credentials and for all activities that occur under your Account. You agree to promptly notify us of any unauthorized use or suspected breach of your Account.

4. Acceptable Use4.1 Prohibited Activities
When using the Service, you agree not to:Engage in any unlawful, deceptive, or fraudulent activities;Post or distribute content that is harmful, abusive, harassing, defamatory, threatening, obscene, or otherwise objectionable;Violate any third-party rights, including intellectual property and privacy rights;Attempt to reverse engineer, decompile, or otherwise tamper with the Service;Upload viruses, malware, or other malicious code that may damage the Service or compromise security;Interfere with the operation or performance of the Service or any user’s enjoyment of it.

4.2 Compliance with Laws
You agree to comply with all applicable local, state, national, and international laws and regulations in connection with your use of the Service.5. Beta Testing and Feedback

5.1 Participation and Reports
By participating in the Beta, you agree to test features, identify bugs or errors, and provide feedback when requested. You agree to cooperate with us in good faith to share this information.

5.2 Feedback License
Any feedback, suggestions, or ideas you voluntarily provide (“Feedback”) are shared internally at the Company. You retain all rights in your Feedback. However, you grant the Company a non-exclusive, worldwide, royalty-free license to use, reproduce, modify, distribute, and otherwise incorporate your Feedback into our products and services without any obligation to you.

6. “As Is” and Beta Disclaimer6.1 Beta-Quality Software
You understand and agree that AssetHub is provided on a beta basis. As a result, it may contain errors, defects, or bugs that could cause failures, data loss, or other issues.

6.2 No Warranty
To the fullest extent permitted by law, the Service is provided “AS IS” and “AS AVAILABLE.” We do not make any guarantees or warranties as to the reliability, availability, or performance of the Service during this Beta phase.

7. Liability7.1 Limitation of Liability
Because the Service is offered for free in this Beta phase, you agree that to the fullest extent permitted by applicable law, AssetHub, Inc. will not be liable for any damages, losses, or injuries resulting from your use of, or inability to use, the Service, including but not limited to direct, indirect, incidental, consequential, punitive, or special damages.

7.2 Use at Your Own Risk
Usage of the Service during the Beta is voluntary and at your own risk. You are responsible for backing up your data and taking appropriate measures to protect your hardware and software.

8. Privacy and Data Protection8.1 Data Collected
We collect your email address when you sign up for the Service. This information is used to administer and provide the Service to you, including sending Beta-related updates and communications.

8.2 Data Storage
We store your email address on secure servers and take reasonable measures to protect it from unauthorized access. However, no system can be 100% secure.

8.3 Use and Sharing of Data
We do not sell your personal data. We only use it to provide and improve the Service. We may share it with trusted third-party service providers who assist in operating the Service (e.g., hosting providers, email distribution services), under obligations of confidentiality.

8.4 Consent
By using the Service, you consent to the collection, storage, and use of your personal data as outlined in these Terms.9.

Governing Law and Dispute Resolution9.1 Governing Law
These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict-of-law principles.

9.2 Venue
Any dispute arising out of or related to these Terms will be resolved exclusively in the state or federal courts located in Delaware. You consent to the personal jurisdiction of such courts.

10. Termination10.1 Termination Rights
We may terminate or suspend your Account or access to the Beta at any time, for any or no reason, including breach of these Terms.

10.2 Effect of Termination
Upon termination, your right to access the Service will immediately cease. You may lose access to any data or content you have stored in the Service.

10.3 Beta Duration
We do not guarantee how long the Beta will run and may discontinue or transition it into a public release at any time without liability to you.

11. Intellectual Property11.1 Company IP
All intellectual property rights in and to the Service (excluding your Feedback) belong to AssetHub, Inc. or its licensors.

11.2 Use of AI
The Service utilizes AI technology to process and modify 3D models. By uploading or generating content, you represent that you have the necessary rights to use and modify such content. You acknowledge that AI outputs may be inherently unpredictable.

12. General Provisions12.1 Entire Agreement
These Terms constitute the entire agreement between you and AssetHub, Inc. regarding the Beta and supersede any prior agreements or understandings related to the Beta.

12.2 Severability
If any provision of these Terms is found to be unlawful, void, or unenforceable, that provision shall be deemed severable and shall not affect the validity and enforceability of the remaining provisions.

12.3 Waiver
Any failure by AssetHub, Inc. to enforce a right or provision under these Terms shall not constitute a waiver of such right or provision.

12.4 Changes to the Terms
We may update these Terms from time to time. If we make material changes, we will notify you by email or through the Service. Your continued use of the Service following such notification indicates your acceptance of the new Terms.
